CORPORATE SOCIAL RESPONSIBILITY POLICY

Preamble

The concept of Corporate Social Responsibility (hereinafter referred as “CSR”) has gained prominence from all avenues. Organizations have realized and understood that for upliftment of the society, it is necessary to integrate its business processes with the social processes. The Company adopts this CSR policy as a strategic tool for sustainable growth of an organization and title this policy as “Aditya Infotech Limited CSR Policy”.

Objective

The objective of the Aditya Infotech Limited CSR Policy is to:

  • Directly or indirectly take up programs that benefit the communities in and around the places where the Company operates or will operate in future;
  • enhancing the quality of life & economic well-being of the local populace through the reputed and registered Trusts / Societies;
  • Generate, through its CSR initiatives, a community goodwill for Aditya Infotech Limited and help enforce a positive and socially responsible image of Aditya Infotech Limited as a corporate entity.

Constitution

The Committee shall comprise of following three (3) Directors of the Company:

  • Mr. Hari Shanker Khemka
  • Mr. Aditya Khemka
  • Mr. Abhishek Dalmia

Annual Budget for CSR Activites

In order to achieve the objectives enlisted in the CSR Policy of the Company, the Company shall allocate such amount as determined by CSR Committee and approved by the Board of Director in consonance with the applicable legal provisions.

The surplus, if any, arising out of the CSR projects or programs or activities shall not form part of business profit and shall be utilized in the CSR activities only.

CSR Projects or Programs

The objective of our CSR Policy is not only to help people by providing facilities for health, education, civic amenities etc. but also to create opportunities for development of skills, employment including self-employment, to promote greater environmental responsibilities and encourage the development and diffusion of environmentally friendly technologies for sustainable development. Accordingly, the activities that may be taken up to fulfil the objectives are as follows:

  • Eradicating hunger, poverty and malnutrition, promoting health care including preventive health care by making investment for the construction of emergency wards by high technology equipped equipments etc. and sanitation and making available safe drinking water by installing and providing the water purifiers ;
  • Promoting education by constructing additional labs, classrooms etc., including special education and employment enhancing vocation skills especially among children, women, elderly, and the differently abled and livelihood enhancement projects;
  • Promoting gender equality, empowering women, setting up homes and hostels for women and orphans; setting up old age homes, day care centers and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically backward groups;
  • Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water;
  • Protection of national heritage, alt and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional arts and handicrafts;
  • Measures for the benefit of armed forces veterans, war widows and their dependents;
  • Training to promote rural sports, nationally recognised sports, Paralympic sports and Olympic sports;
  • Contribution to the Prime Minister's National Relief Fund or any other fund set up by the Central Government for socio-economic development and relief and welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women;
  • Contributions or funds provided to technology incubators located within academic institutions which are approved by the Central Government;
  • Rural development projects.

Implementation & Execution

  • The investment in CSR activities should be project based and for every project there should be time frame and periodic milestones should be finalized at the outset.
  • The approved CSR activities/projects may be implemented directly or through a registered trust or registered society or a Company with charitable objects, established by the company or its holding or subsidiary or associate company under Section 8 of the Companies Act, 2013. If such trust or society or company is not established by the company or its holding or subsidiary or associate company then the CSR activities/projects can be carried on through an independent registered trust or registered society or company with charitable objects, which shall have a track record of 3 years in undertaking similar activities/projects

Monitoring Process

The CSR committee will meet periodically to discuss the progress of CSR activities and apprise the Board with the progress and action plan, from time to time and the Board of Directors of the Company shall review the progress of CSR activities/projects once in every Six (6) months.

Amendment

The Board of Directors on its own and/or as per the recommendations of the CSR committee can amend this policy, as and when deemed fit. Any or all provisions of this CSR policy are subject to the applicable provisions of the Companies Act, 2013.

General Information

  • CSR activities shall not include the activities/projects undertaken in pursuance of normal course of business of the company. Further the CSR activities/projects which is pursued only for the benefit of the employees of the Company and their families shall not be considered as prescribed CSR activities/projects.
  • The Board of Directors shall disclose the details of CSR activities undertaken in Board’s Report annually.
  • All the CSR activities undertaken by the company shall be available for display in our company website i.e. www.adityagroup.com
